Terms of Service
The agreement between you and The Colab.
Written to be read. If anything here is unclear, ask us before you rely on it — [email protected].

1. Who this agreement is with
These terms are between you and The Colab, LLC, a California limited liability company ("The Colab," "we," "us"), which operates the shared workspace at 122 South E Street, Exeter, CA 93221 and the website at thecolabexeter.com. By using the website, joining as a member, booking a tour, or renting the space, you agree to these terms.
2. Memberships
The Colab offers three membership tiers — Connect ($79 a month), Create ($119 a month), Collaborate ($179 a month). What each tier includes is listed on the Membership & Pricing page, and that list is part of this agreement.
Billing. Memberships are billed in advance monthly, starting with your first successful membership payment and renewing on the same day each month until you cancel. If a shorter month does not have that date, renewal falls on its last day. Prices include everything listed for your tier; anything outside it (extra guest passes, conference-room time beyond your allowance, event rentals) is priced separately.
Cancelling. You can cancel at any time, with no fee, from your member portal or by emailing us. Your membership then runs out at the end of the monthly billing period you have already paid for, and you keep full access until then. We don't refund unused days within a period.
Founding-member pricing. The first 30 members lock in the founding rates ($69 / $109 / $169 a month) for the first 12 monthly billing periods of their membership, counted from the first successful membership payment, as long as the membership stays continuously active. If a founding membership is cancelled and later restarted, it restarts at the then-current standard rate.
Changing tiers. You can move up or down a tier at any time; the change takes effect at the start of your next monthly billing period. Pausing a membership is not offered at this time.
Price changes. We'll give at least 30 days' notice by email before changing the price of your tier. Founding-member rates are protected for their 12-month term regardless.
3. Event and space rentals
The Colab can be rented for events through the Host it page, and so can The Patio when it opens — added to a booking of The Colab, or on its own. You can book a rental online through the Host it page where online booking is offered, or arrange one with us. Online, you choose the date and times, accept the Rental Agreement and pay in full at checkout. For other dates or custom requests, we agree the details and email a Booking Confirmation with a secure link to pay. A rental is confirmed when we've confirmed the date, times, space and total price in writing, you’ve accepted the Rental Agreement, and your full payment has been confirmed. A payment still processing does not confirm it.
The full contract is the Rental Agreement, which you accept before you pay. Where this section and that agreement say different things about a rental, the Rental Agreement governs. A rental accepted under an earlier version of the agreement keeps the payment and cancellation terms of the version accepted.
Full payment and the booking fee. The full rental price is paid through the link in your Booking Confirmation. It includes a booking fee of $25, which is part of the total, not an additional charge. There is no separate booking deposit or later balance.
Cancelling a rental. If we receive your cancellation at least 14 days (14 periods of 24 hours) before the event’s scheduled start, we refund what you paid less the $25 booking fee. If we receive it later, we keep 50% of the agreed rental price plus the $25 booking fee and refund the rest. Your Booking Confirmation gives the exact cutoff in Pacific time, and moving the event to a later date does not extend it. If we cancel for a reason within our control, we refund everything you paid, including the booking fee.
Damage deposit. We don’t take a separate damage deposit up front. Instead we keep the card you pay with on file, and nothing is charged unless the space is damaged or left needing more than ordinary cleaning. If that happens we email you an itemized statement with the evidence and a link to pay. You have 14 days to pay or dispute it; if you do neither, we remind you at least 3 days ahead and then charge that card, up to $250 — or up to $500 where alcohol was present — and send a payment link for anything above that. A dispute pauses everything until we send our findings. Damage costing more than the cap is still yours to cover; the cap is on what we charge to the card. Article 6 of the Rental Agreement has the full process.
Member discounts. Active members receive the rental discount shown for their tier on the Membership page. The discount applies to the member's own bookings.
Your event. You're responsible for your guests, for any vendors or caterers you bring in, for leaving the space as you found it, and for any damage beyond normal wear. Events must end by the time agreed in your booking.
4. Using the space
The Colab is a shared workspace, and it works because people look after it and each other. As a member or renter you agree to:
- Use the space during your tier's hours and for lawful, professional purposes. The space is not for overnight stays or as a residence.
- Sign guests in and stay with them while they're here. Guest passes are per visit and don't transfer between members.
- Keep shared areas tidy, keep noise reasonable in shared areas, and take calls in the lounge.
- Treat everyone in the space with respect. Harassment, discrimination, or behavior that makes the space unsafe or unwelcoming for others is grounds for immediate termination.
- Keep your key, code, or access credential to yourself and tell us right away if it's lost.
- Not bring pets other than service animals, and not smoke or vape anywhere on the premises, including the patio.
- Pay for any damage you or your guests cause beyond normal wear and tear.
We may update these house rules from time to time, and will post the current version in the space and on the website. Repeated or serious breaches let us end your membership immediately; if that happens, you're refunded any unused full monthly billing periods you've paid for, but not the current one.
5. Mail handling
Members may use The Colab's street address to receive business mail and packages, which we hold for pickup during business hours. We are not responsible for items after we've handed them to you, for perishable or hazardous items, or for mail that arrives after a membership ends. This service is for business correspondence and is not a registered-agent or legal-service address unless we agree otherwise in writing.
6. Your belongings, and liability
Personal property is brought into the space at your own risk. Please don't leave valuables unattended; we're not responsible for loss, theft, or damage to your belongings, including items left overnight or in shared areas.
To the fullest extent the law allows, The Colab, LLC's total liability to you for anything arising out of your membership, rental, or use of the space or website is limited to the amount you paid us in the 12 months before the claim. We're not liable for indirect or consequential losses, such as lost business or lost data. Nothing in these terms limits liability that can't be limited by law, including for death or personal injury caused by our negligence.
You agree to cover us for claims brought by third parties that arise from your use of the space or from your guests' or vendors' conduct.
7. Payments
Membership fees and rental payments are charged to the card you provide, through Stripe, whose terms apply to the card transaction. If a payment fails, we'll tell you and Stripe will try again. Your membership and door access continue while it does. If its final automatic attempt fails and billing is cancelled, the membership ends, and we email you the time it ended. While a payment is past due, you may need to resolve it before making new bookings. Prices are in US dollars and exclude any taxes that may apply.
8. Website and content
The website is provided as-is. We do our best to keep information accurate — pricing, hours, and amenities in particular — but details can change, and the current version on the site is what applies. Images of the space marked "concept rendering" are illustrations produced before opening, not photographs. Everything on the site, including the name and logo, belongs to The Colab, LLC or its licensors and may not be reused without permission.
9. Privacy
How we handle your information is described in our Privacy Policy, which is part of these terms.
10. Changes to these terms
We may update these terms. If a change materially affects members, we'll email you at least 30 days before it takes effect; continuing to use the space after that is your acceptance. The "last updated" date at the top tells you when the terms last changed.
11. Governing law
These terms are governed by the laws of the State of California. Any dispute that we can't sort out together will be handled in the state or federal courts serving Tulare County, California.
